Terms of Service

1. Acceptance of Terms

By accessing or using ExchangeHandles.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

2. Platform Services

ExchangeHandles is a marketplace platform that connects buyers and sellers of digital handles, usernames, and domain names across various platforms including social media, gaming services, and domain registrars.

We provide:

  • A listing marketplace for digital assets
  • Escrow services to protect both buyers and sellers
  • Identity verification (KYC) for trusted transactions
  • Secure payment processing via Stripe
  • Transfer assistance and concierge services

3. User Accounts

3.1 Registration

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access or security breaches.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to the Platform or other users.

4. Listings & Sales

4.1 Seller Obligations

As a seller, you represent and warrant that:

  • You have full legal ownership and transfer rights to the listed handle/domain
  • The handle is not subject to any liens, claims, or third-party rights
  • All information provided in the listing is accurate and not misleading
  • The handle has not been obtained through fraudulent or illegal means
  • You will complete the transfer in good faith within the agreed timeframe

4.2 Prohibited Listings

You may not list handles that:

  • Infringe on trademarks, copyrights, or intellectual property rights
  • Were obtained through hacking, phishing, or unauthorized access
  • Violate platform terms of service (Twitter, Instagram, etc.)
  • Contain illegal, offensive, or harmful content
  • Are stolen, fraudulent, or misrepresented

4.3 Pricing & Fees

ExchangeHandles charges a platform fee on completed transactions. Fee structure:

  • Standard transactions: 5% platform fee (minimum $10)
  • High-value transactions (over $10,000): 3% platform fee
  • Payment processing fees: Stripe fees apply (2.9% + $0.30)

All prices are listed in USD. Sellers receive their payout minus platform fees after successful transfer completion and inspection period.

5. Escrow Process

5.1 How Escrow Works

  1. Purchase: Buyer initiates transaction and funds escrow via Stripe
  2. Transfer Started: Seller begins transfer process with concierge assistance
  3. Transfer Completed: Buyer receives access to the handle/domain
  4. Inspection Period: 48-hour window for buyer to verify ownership and functionality
  5. Completion: Funds released to seller after inspection period or buyer confirmation

5.2 Transfer Methods

Transfers are facilitated through:

  • Concierge Service: Human-guided screen-share transfer assistance (recommended)
  • Self-Service: Buyer and seller coordinate transfer independently
  • Automated Transfer: For supported platforms with API access (future feature)

5.3 Inspection Period

Buyers have 48 hours after transfer completion to verify:

  • Full access to the account/domain
  • No unauthorized access or lingering sessions
  • Accurate representation of follower count, engagement, and metrics
  • No violations of platform terms that could result in suspension

If issues are found, buyers may open a dispute during this period.

6. Handle & Domain Transfer Disclaimers

6.1 Platform Terms Compliance

IMPORTANT: The transfer of social media handles may violate the terms of service of the respective platforms (Twitter/X, Instagram, TikTok, etc.). By using this Platform, you acknowledge that:

  • Third-party platforms may prohibit account transfers
  • Transferred accounts may be suspended or banned by the platform
  • ExchangeHandles is not responsible for enforcement actions by third-party platforms
  • You assume all risks related to platform terms violations

6.2 Domain Transfers

Domain transfers are subject to:

  • Registrar-specific transfer requirements and fees
  • ICANN transfer policies and domain lock periods
  • EPP/Auth code verification
  • Standard 5-7 day transfer processing times

6.3 No Guarantees

ExchangeHandles does not guarantee:

  • That transferred handles will remain active on third-party platforms
  • Follower retention or engagement levels after transfer
  • That handles will maintain verification status or badges
  • Future platform policy changes will not affect transferred handles

7. Disputes & Resolution

7.1 Dispute Process

If a dispute arises, either party may open a dispute ticket within the Platform. Disputes must be opened:

  • During the 48-hour inspection period, or
  • Within 7 days of transfer completion for issues not discoverable during inspection

7.2 Resolution Methods

ExchangeHandles will review disputes and may:

  • Facilitate communication between buyer and seller
  • Request additional evidence or documentation
  • Refund the buyer if seller fails to deliver
  • Release funds to seller if buyer's claims are unfounded
  • Partial refunds for misrepresented metrics or assets

7.3 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association's rules. Each party agrees to waive their right to a jury trial.

8. Prohibited Conduct

Users may not:

  • Engage in fraud, deception, or misrepresentation
  • List or purchase stolen, hacked, or compromised accounts
  • Manipulate reviews, ratings, or reputation systems
  • Engage in shill bidding or auction manipulation
  • Harass, threaten, or abuse other users
  • Bypass or circumvent security measures
  • Use automated bots or scrapers
  • Engage in money laundering or illegal financial activity
  • Infringe on intellectual property rights
  • Attempt to circumvent escrow or fees

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ExchangeHandles is a marketplace platform and not a party to transactions between buyers and sellers
  • We are not liable for losses resulting from platform suspensions, account bans, or third-party actions
  • We are not responsible for the quality, legality, or accuracy of listings
  • Our total liability for any claim is limited to the amount of platform fees paid for that transaction
  • We are not liable for indirect, incidental, consequential, or punitive damages

10. Indemnification

You agree to indemnify and hold harmless ExchangeHandles, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of third-party rights
  • Your listings or transactions

11. Intellectual Property

The Platform, including its design, code, logos, and content, is owned by ExchangeHandles and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Platform.

12. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Platform immediately ceases
  • Active transactions will be completed according to escrow rules
  • We may retain data as required by law or for fraud prevention

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal actions must be brought in the state or federal courts located in Delaware.

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between you and ExchangeHandles regarding the Platform.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
